We're thrilled that you've chosen to utilize our product or services, including our services(Zenyo Payroll and Zenyo Workforce), products, Mobile apps, our licensees' websites, and the applications collectively referred to as "Platforms" operated by Zenyo. "Zenyo," "we," "us," or "our" pertains to Zenyo, and "you" refers to the Zenyo user, Zenyo client, or Zenyo subscribers. By accessing our platforms, you acknowledge that you've read, understood, and agreed to our legal terms of service and privacy policy, collectively referred to as the "Agreement."
Aside from Zenyo's services, we offer subscribers access to our exclusive platform, contingent upon our terms of service. The subscription agreement is entered into between each subscriber (Zenyo user) and Zenyo. These terms of service stipulate that any disputes between you and Zenyo must be settled through BINDING ARBITRATION per the Indian Arbitration and Conciliation Act, 1996.
Please carefully review these terms as they will impact your legal rights.
When you visit or explore our platforms as a user or client, it is a requirement to accept and agree to our terms of service, accessible at https://zenyohr.com/terms-of-service. Additionally, before registering on Zenyo, it is crucial to review our privacy policy. If you are acknowledging these terms on behalf of Zenyo and legal entities, you must have the authorized capacity to do so, and you are thereby legally obligated by these terms.
As a user of Zenyo, you commit to refraining from reproducing, duplicating, manipulating, copying, or exploiting any part of our platform. Additionally, you agree not to employ robots, spiders, scrapers, or other automated tools to access our services or monitor Zenyo's information and resources.
If you disagree with any of these terms, kindly refrain from using our platforms, including the website, app, and software. We reserve the right to terminate your account if you violate any of these terms.
To access or utilize the Services, you must first create a user account by supplying all essential information. If you work for a company and want to use the Services for internal purposes, we recommend that you and all other employees sign up for user accounts by giving your company's contact information. We recommend that you use your company's email address in particular. You promise to: (i) give true, accurate, current, and complete information about yourself as prompted by the registration process; and (ii) maintain and promptly update the information supplied at the registration to keep the information genuine, precise, and updated, and comprehensive. If you give any information that is false, incorrect, outdated, or incomplete, or if Zenyo receives any information that is untrue, inaccurate, outdated, or incomplete, Zenyo may cancel your user account and reject the current or future use of any or all of the services if Zenyo has reasonable grounds to think that such information is incorrect, inaccurate, outdated, or incomplete.
When using our website (Zenyo), there may be the collection of specific Personal Information that you provide. The guidelines related to the collection and utilization of this Personal Information are regulated in accordance with our Privacy Policy, which is hereby included by reference in its entirety.
During the sign-up process, you'll need to create a Zenyo account by providing your name, company details, contact number, email address, and service information. Make sure to use the correct email and password to verify your identity when logging in. It's important to keep your password secure. Zenyo is not responsible for any losses or damages if you fail to protect your account and password. You're also responsible for ensuring that all activities related to your organizational account comply with this Agreement. If you forget your password, you can initiate a reset from the admin panel. Reactivating a deactivated account requires assistance from our support team.
We have the right to refuse service, suspend, or terminate any user at our discretion, with or without prior notice.
When you enroll in a free trial of one or more Services, Zenyo provides you with complimentary access to those Services for the trial period. The trial period will end at the earlier of (i) the conclusion of the trial period for the relevant Services (unless you choose to end it sooner), (ii) the start of the paid subscription period for those Services, or (iii) termination at Zenyo's discretion.
Please note that any data entered into the Services and any customizations made during the free trial will be permanently lost unless you take one of the following actions: (i) upgrade to the corresponding paid subscription plan, (ii) purchase relevant Service upgrades, or (iii) export the data before the trial period expires.
It's important to understand that during the free trial, the Services are provided on an "as-is" basis, without any warranties, commitments, support, or liability, as permitted by law.
In the event of a material breach that is not cured within 30 days of written notice by the non-breaching party, either party may terminate this Agreement (except in the case of your nonpayment (including in the event your credit card cannot be charged), in which case Zenyo may suspend or terminate your access to the Service). For all subscriptions, Zenyo will return any prepaid payments for any portion of the term remaining after the date of cancellation. However, there will be no reimbursement for the current month.
Zenyo may, in its sole and absolute discretion, downgrade, terminate, or suspend your access to the Service or any part of it, without prior notice and without liability i) if Zenyo's good faith belief that you have violated any provision of this agreement (including failure to pay before or any dues) ii) if you do not log in to or otherwise use the Service completing the initial free 30 days trial your assigned users are revoked of their access to Zenyo. Should the admin continue with any of Zenyo's plans they can keep using their services without any obstructions.
In the event of any suspected criminal behavior, lengthy periods of inactivity, or demands from law enforcement or other government agencies, we may suspend your user account or temporarily block access to all or part of any Service. User accounts that have been suspended or disabled should be informed to contact@zenyohr.com within thirty days of being notified of the suspension. After thirty days, we may cancel a suspended or deactivated user account. On your request, we will also terminate your user account.
We may terminate or suspend your access to the service without prior notice for any reason, including for a prolonged period of inactivity. If we suspend your access to the service, you will not be charged on a recurring basis for such suspended services; however, you may be charged for any services purchased prior to the suspension or termination.
In addition to acknowledging and accepting these terms of service, you will not consent to, approve, encourage, or permit the following:Your service membership will automatically renew for the same term as when you first paid for it (e.g., month-to-month, annual, etc.). You may alter the length of your membership at any time by contacting us via one of the ways listed in the Contact Information section below. Monthly subscriptions will be paid once a month, and yearly subscriptions will be charged once a year (on the anniversary of your subscription date). When your card is charged, Zenyo will send you an email receipt. Your access to the services may be interrupted if your card cannot be charged, and you will need to change your card details to restart use. For partial months of service, upgrade/downgrade accounts, there will be no returns or credits.
A minimum of a one-year subscription is required to sign up for the yearly membership. Should the prices be revised, the differences will be deducted in the following plans for the monthly plans and will be included during the following payment for the active months during the revised period.
All fees are exclusive of all duties and taxes levied by the governing authorities. You as an individual or an entity of an organization or as an organization are solely liable for all such taxes and duties.
Tax - All Fees do not include applicable federal, provincial, state, local, or other governmental sales taxes, goods and services taxes (including Goods and Sales Tax under the Goods and Services Tax Act, Chapter 117A of Singapore), or any other taxes, fees, or charges, whether currently in effect or enacted in the future ("Taxes").
You are responsible for paying any Taxes related to your subscription or purchase of Zenyo's products and services. If Zenyo applies Taxes, they will be calculated based on the tax rates determined by your billing address. These amounts are in addition to the fees and will be charged to your Authorized Payment Method. If Zenyo doesn't charge Taxes, you are responsible for determining if Taxes apply and remitting them to the appropriate tax authorities.
To be clear, all payments to Zenyo under these Terms of Service should be made without any deductions or withholdings. Other than Taxes charged by Zenyo and remitted on your behalf, any required deductions or withholdings under the law are your responsibility and must be paid separately to the relevant tax authority. Zenyo has the right to charge the full amount of Fees specified in these Terms of Service to your Authorized Payment Method, disregarding any required deductions or withholdings.
You are responsible for determining, collecting, withholding, reporting, and remitting any applicable taxes, duties, fees, surcharges, or additional charges related to your use of the Services. Ensure that your location in the administrative console of your Zenyo is accurate, and promptly update it if you change jurisdictions. Zenyo does not offer refunds.
Zenyo is responsible for the security of cardholder data received from our customers if any. We comply with the most recent version of the Payment Card Industry Data Security Standard (PCI-DSS) and other applicable laws, rules, and regulations to the extent that we handle, or transfer cardholder data.
Zenyo is responsible for the security of cardholder data, including, without limitation, when Zenyo uses third-party payment processors to process payments. When it comes to processing the cardholder’s data, Zenyo complies with the most current version of the Payment Card Industry Data Security Standard (PCI-DSS) and other applicable laws, rules, and regulations.
The Zenyo platform incorporates various third-party integrations, built-in functions, automation, and more. We retain the right, at our sole discretion, to make changes to our platform without prior notice, determining how and why it operates. Our platform undergoes regular updates, and our Terms of Service may not always precisely reflect these changes.
By using or accessing Zenyo, you agree and consent to the recording and monitoring of your Internet Protocol address, Media Access Control address, and browser details. This is done to prevent abuse, hacking, and other attempts to compromise the security of our platforms. Capturing this data not only enhances security but also helps Zenyo improve the experience. Additionally, we may use this information to address customer service concerns, identify bugs, and optimize user engagement and navigation on the site, as well as on online websites, and other online channels. As part of our managed service, Zenyo is consistently working to enhance satisfaction. Individuals accessing the Zenyo site and consuming "gated" content, where personal information is provided in exchange for Zenyo content or platforms, expressly acknowledge and agree to "opting in" for Zenyo to contact them via email, phone, text message, or any other form of communication (including auto-responders, dialers, and other forms of automated marketing services). Anyone may "opt-out" from Zenyo communications at any time.
Zenyo represents, warrants, and covenants that a) Zenyo has all reserved rights required to grant you the rights set forth in the Agreement; b) Zenyo uses commercially acceptable and reasonable standard measures and screens for time bombs, viruses, technically limiting devices, and or technically limiting code c) the platform and services will perform substantially in accordance with the technical requirements that are provided along with the Agreement. d) Any and all services provided by Zenyo for you will be treated as work-like and will be performed by professionals with the degree of skill and care that requires acceptable professional procedures and practices.
Except for the limited warranty set forth above, Zenyo hereby disclaims all other warranties, express or implied, including implied warranties of merchantability or fitness for a particular purpose, with respect to the software, documentation, deliverables, and other materials and/or services to the maximum extent permitted by applicable law. Zenyo does not guarantee that the service will be error-free or available at all times.
Except for each party's violation of its indemnification duties hereunder or either party's gross negligence or willful misconduct, (a) neither party will be responsible for any indirect, consequential, special, punitive, or exemplary damages arising out of this agreement, and (b) each party's aggregate liability to the other with respect to this agreement is limited, to the extent permissible by applicable law, to the fees received by Zenyo from the other party.
Zenyo owns and retains all rights, title, and interest in and to (a) the software and the service, including all intellectual property rights, and (b) transactional and performance data relating to your use of the service, as between the parties. Zenyo may collect, utilize, and disclose all transactional and performance data for its business objectives (including software use optimization and product marketing), as long as such use does not expose your name, private information, or personally identifiable information.
You are solely responsible for ensuring the information you provide us is up-to-date and accurate. It is your responsibility to maintain the confidentiality of your account information and password. When logging in using a public or shared network, remember to log out after each visit. If you become a victim of identity theft involving a Zenyo account, you must notify us and report the incident to your card issuers and local law enforcement.
Additionally, be cautious of any communication requesting your credit card information, as responding to such requests can lead to identity theft. Always access sensitive information about your Zenyo account in private. Zenyo reserves the right to place any account on hold at any time, with or without notification.
You are obligated to indemnify Zenyo for damages, costs, and fees resulting from any third-party claim that:
You can assume the defense of any third-party claim as long as it is reasonably satisfactory to Zenyo. We may employ our counsel in any such case and pay counsel fees. You have the right to settle any claim for which indemnification is available. THE PARTIES DISCLAIM ANY IMPLIED WARRANTY OF NON-INFRINGEMENT AND RELY ON THE TERMS OF THIS SECTION INSTEAD.
We have the authority to, at our discretion, update or modify any part of the Terms of Service at any time. We will provide you with reasonable advance notice of changes that significantly affect your use of the Services or your rights under these terms, typically through an email sent to your primary email address. However, there may be situations where immediate changes are necessary, whether for legal, regulatory, fraud prevention, security, or to restrict products or activities we consider unsafe, inappropriate, or offensive. Unless otherwise specified in our notice, any changes to the Terms of Service will become effective immediately upon posting on this page. If you continue to use the Services after notice or the posting of updated terms, it indicates your acceptance of the changes and agreement to be bound by the amended Terms of Service. If you do not agree with the revised terms, you should discontinue using the Services. Additionally, Zenyo reserves the right to modify the Fees for the Services, and we will notify you 30 days in advance by sending an email to your primary email account. Zenyo is not responsible to you or any third party for any changes in services, such as modifications, price adjustments, suspensions, or discontinuations (or any part of them).
If we receive a complaint from any individual regarding your actions while using the Services, we will promptly forward the complaint to the primary email address associated with your user account. It is your responsibility to directly address the complaint within 10 days of receiving our email, and you must also keep Zenyo informed of the communication.
Failure to respond to the complainant within the specified 10-day timeframe from the date of our email may lead to us disclosing your name and contact details to the complainant, facilitating their pursuit of legal action against you. It's important to note that your lack of response within the stipulated time frame will be considered as your consent for Zenyo to share your name and contact information with the complainant.
You are under no obligation to provide Zenyo with any ideas, enhancement requests, recommendations, comments, or other feedback pertaining to the Service (collectively referred to as "Feedback"). Zenyo may use any Feedback received from you to enhance the services or for any other reason*. As a result, if you provide feedback, you agree that Zenyo will own all such feedback and therein data, with Zenyo and its affiliates, licensees, clients, partners, third-party providers, and other authorized entities will be free to use, reproduce, license, distribute, and otherwise commercialize the feedback in the Service or other related technologies, and you hereby assign all such feedback to Zenyo irrevocably, exclusively, and royalty-free.
Our policy allows us to deactivate unpaid user accounts that have been inactive for a continuous period of 120 days. When such deactivation occurs, all data associated with the user account will be removed, and you cannot back up your data. This data deletion policy may be applied to any or all of our Services. Each Service is treated as an independent entity for calculating inactivity, meaning that activity in one Service alone is not sufficient to maintain the activity status of your user account in another Service. For accounts with multiple users, as long as at least one user remains active, the account will not be classified as inactive.
Periodically, we conduct tests on our product across various aspects, including our website, interfaces, service levels, plans, promotions, features, delivery, pricing, and integrations. We (Zenyo) retain the right to include or exclude you from these tests, with or without notice.
By agreeing to our terms of service, you acknowledge and agree that any arbitration or process between us and you will be limited to the dispute between us in accordance with the Indian Arbitration and Conciliation Act, 1996, and the United States Federal Arbitration Act. To the extent permitted by law:
If any section of the Terms is determined to be defective by a court of competent jurisdiction, the parties agree that the court should strive to give effect to the parties' intentions as closely as possible.
Here you agree that you may bring claims against us, including our website, product, services, platform, or brand, in your capacity and not as a class member in any purported class or representative proceeding.
You and Zenyo agree that any dispute, claim, or controversy arising out of or relating in any way to the platforms, including our website, user interfaces, these Terms of Service, and this Arbitration Agreement shall be determined by binding arbitration in Washington County, Oregon, instead of in courts of general jurisdiction. Arbitration is less formal than a judicial proceeding. Arbitration, rather than a judge or jury, uses a neutral arbitrator, allows for more limited discovery than in court, and is subject to extremely limited judicial review. Arbitrators have the same power to award damages and relief as a court. If a dispute arises out of or relates to this Agreement, the Services, or any other platform we provide (each, an "Issue"), either party may elect to resolve the dispute via binding arbitration governed by the Federal Arbitration Act ("FAA"), Arbitration and Conciliation Act, 1996. By agreeing to these Terms of Service, you acknowledge that the United States Federal Arbitration Act and the Indian Arbitration and Conciliation Act, 1996 govern the interpretation and enforcement of this section and that you have read and understood it. This arbitration provision shall survive the termination of this Agreement and the termination of your Zenyo membership. YOU AND ZENYO AGREE THAT YOU MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. IF EITHER PARTY CHOOSES ARBITRATION, NEITHER PARTY SHALL HAVE THE RIGHT TO LITIGATE SUCH A CLAIM IN COURT OR TO HAVE A JURY TRIAL. ARBITRATION MAY ALSO LIMIT DISCOVERY AND APPEAL RIGHTS. Further, unless both you and Zenyo agree otherwise, the arbitrator may not consolidate more than one person’s claims with your claims, and may not otherwise preside over any form of a representative or class proceeding. If this particular provision is judged to be unenforceable, the entire arbitration clause will be null and void. Only the particular party requesting remedy may receive declaratory or injunctive relief, and only to the degree necessary to give relief merited by that party's claim. The parties may litigate in court to compel arbitration, to stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator. In addition, we have the right to file an injunction in any court with jurisdiction.
THE WEBSITE AND OUR PLATFORM ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND ZENYO DOES NOT MAKE ANY WARRANTIES CONCERNING THE SAME OR OTHERWISE IN CONNECTION WITH THIS AGREEMENT. ZENYO EXPRESSLY DISCLAIMS ANY AND ALL EXPRESS, IMPLIED, OR STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF NON-INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE, AVAILABILITY, ERROR-FREE OR UNINTERRUPTED OPERATION, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE PRACTICE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, (I) WE SHALL NOT BE LIABLE FOR ANY INCIDENTAL AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST PROFITS IN CONNECTION WITH ANY WARRANTY, CONTRACT, OR COMMON LAW TORT CLAIMS; PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION RESULTING FROM THE USE OR INABILITY TO USE THE WEBSITE OR THE CONTENT, AND (II) ANY DIRECT DAMAGES SUFFERED AS A RESULT OF YOUR USE OF THE WEBSITE OR THE CONTENT ARE LIMITED TO ONE HUNDRED DOLLARS ($100). IN SOME JURISDICTIONS, THE EXCLUSION OF CERTAIN WARRANTIES IS PROHIBITED. AS A RESULT, SOME OF THE ABOVE WARRANTY LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU. TECHNICAL INACCURACIES, TYPOGRAPHICAL ERRORS, AND OMISSIONS MAY BE FOUND ON THIS WEBSITE. WE ARE NOT RESPONSIBLE FOR ANY OF THE WEBSITE'S TYPOGRAPHICAL, TECHNICAL, OR PRICING ERRORS.
